My background is in parliamentary procedure. My frustration is in getting boards to follow their bylaws and to be ethical. It is difficult to address this with boards where the board membership doesn't significantly change..ie board members are rotated out for a term then back on the board. Any suggestions on how to address this?

Deborah - is there a governance committee that is focused on the board pipeline and recruiting new members? and does the Gov comm review the bylaws - maybe bring to the board every other year to review and update on occasion. Gov Comm is one of the most imp committees on the board - it needs to play a leadership role in keeping your board strong and ethical. ask the panel this question too?

There has not been. I am generally the only member who will say something when this happens and I know I have to pick and choose what I address. We have tried through board training but that does not seen to help.
