The updated package of Venture Capital Investment Model Agreements, or VIMA 2.0, released in September 2022, provides more alternative provisions or annotations for transactional documents, and introduces a new and separate suite of pre-Series A documents. In particular, VIMA 2.0. now includes short and long form environmental, social and governance (ESG) letter agreements aimed at both early stage and more mature companies, something that has not been done even in standard-bearer markets such as the UK and the US.
Join our experts for a candid and practical conversation on ESG considerations in venture capital investment from the perspectives of legal advisers, investors and founders. You will also have the opportunity to ask our panel of speakers questions on everything related to ESG matters.
The conversation will revolve around:
· Providing more background in defining the concept and materiality of ESG for early-stage companies and venture investing: how early-stage companies should formulate ESG goals as part of their broader strategy.
· Striking the right balance at the start of the investor-investee relationship: how should investors and founders approach ESG so that ESG terms serve to frame key priorities and targets for investee companies, and ESG obligations are not viewed merely as “compliance hassles”.
· Using the right documentation to help achieve better outcomes: how the model ESG letter agreements in VIMA 2.0 provide a reference point for incorporating ESG-related provisions in financing transactions.
